These Terms & Conditions (the "Terms") govern your use of uravisual.com and any related sites, applications, content, and services operated by URA LLC ("URA," "we," "us," or "our"). By accessing the Services or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of entering into a binding contract to use the Services. By using the Services, you represent that you meet these requirements and that all information you provide is accurate and complete.
2. Intellectual Property
All content on the Services — including but not limited to the URA name and wordmark, the closed-top U-shield mark, the bronze-framed brand mark, the phrase "Heritage · Era · Identity," all photography, video, garment designs, prints, color palettes, layout, typography, logos, packaging, copy, and the overall look and feel of the Services — is the exclusive property of URA LLC or its licensors and is protected by United States and international copyright, trademark, trade-dress, and other intellectual-property laws.
Trademarks. URA™ is a trademark of URA LLC. The U-shield device, the bronze-framed mark, "Heritage · Era · Identity," and all related names, logos, and slogans are proprietary to URA LLC. You may not use any of these marks without our prior written consent.
Limited License. We grant you a personal, non-exclusive, non-transferable, revocable license to access and view the Services for personal, non-commercial use only. This license does not include the right to:
- Copy, reproduce, distribute, republish, modify, translate, or create derivative works of any URA content or designs;
- Use any URA content for commercial purposes, including the manufacture, sale, or promotion of competing goods;
- Use data-mining, scraping, robots, or similar data-gathering tools on the Services;
- Frame, mirror, or reverse-engineer any portion of the Services;
- Remove or alter any copyright, trademark, or other proprietary notice.
Any unauthorized use terminates the license granted above and may result in legal action.
3. Products & Capsule Collections
URA designs and sells limited-edition apparel and accessories tied to defined cultural and sporting moments (each, a "Capsule"). Each Capsule is produced in limited quantities and may be marked as final sale at our discretion. We do not guarantee that any Capsule, design, color, or size will be restocked once sold out.
We make reasonable efforts to display product colors, materials, and details accurately, but minor variations may exist due to monitor settings, photography lighting, fabric batch differences, and the handcrafted nature of certain items. These variations are not defects.
4. Orders, Pricing & Payment
All prices are displayed in U.S. dollars and exclude applicable taxes and shipping unless otherwise stated. Prices, product availability, and promotions are subject to change without notice. We reserve the right to:
- Refuse, limit, cancel, or modify any order, including for suspected fraud, pricing errors, or quantity restrictions;
- Cancel any order at any time prior to shipment, with a full refund of the purchase price;
- Correct any errors in pricing, product description, or availability, even after an order has been submitted.
Your order is an offer to purchase, which we may accept or decline at our sole discretion. A contract of sale is formed only when we ship the order. Payment is processed at checkout through Shopify Payments and other approved providers; you authorize the chosen processor to charge the amount stated at checkout.
5. Shipping, Returns & Refunds
Shipping is governed by our Shipping Policy, and returns and refunds are governed by our Return & Refund Policy. Both policies are incorporated into these Terms by reference.
6. Accounts
You may be required to create an account to place orders or access certain features. You agree to provide accurate, current, and complete information and to keep your password confidential. You are responsible for all activity that occurs under your account. We may suspend or terminate accounts at our discretion, including for violation of these Terms.
7. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation;
- Infringe the intellectual-property, privacy, publicity, or other rights of any third party;
- Upload viruses, malicious code, or content that is unlawful, defamatory, obscene, or harassing;
- Interfere with the operation of the Services or the experience of other users;
- Resell URA products at unauthorized retail or for the purpose of brand misrepresentation;
- Impersonate any person or misrepresent your affiliation with URA.
8. User Content
If you submit any reviews, comments, photographs, suggestions, or other content to the Services or to URA directly ("User Content"), you grant URA a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, publish, and display that User Content in any media for any lawful business purpose, including marketing. You represent that you own or have the necessary rights to the User Content you submit and that it does not infringe any third-party rights.
9. Third-Party Links & Services
The Services may contain links to third-party websites or services that are not owned or controlled by URA. We are not responsible for the content, policies, or practices of any third-party site. Your use of any third-party service is at your own risk and subject to that party's terms.
10. Disclaimer of Warranties
EXCEPT AS REQUIRED BY APPLICABLE LAW, THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. URA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, URA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY URA PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. URA'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT OR ORDER THAT GAVE RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER.
12. Indemnification
You agree to defend, indemnify, and hold harmless URA LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Services or URA products; (b) your violation of these Terms; or (c) your violation of any third-party right.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Loudoun County, Virginia, and you consent to the personal jurisdiction of those courts. Where required by law, consumers retain the right to bring claims in their state of residence.
14. Changes to These Terms
We may revise these Terms at any time. The most current version will be posted on this page with the updated "Last updated" date. By continuing to use the Services after changes are posted, you accept the revised Terms.
15. Severability & Entire Agreement
If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in full force. These Terms, together with our Privacy Policy, Shipping Policy, Return & Refund Policy, and Legal Notice, constitute the entire agreement between you and URA with respect to the Services.
